Agreement

This Agreement (hereinafter referred to as the "Agreement") explains the contractual agreement between Top100USmodels.com™ and you who agrees to the terms of this Agreement. This Agreement governs your use of the Top100USmodels.com™ Web Site (the "Web Site") and transactions conducted through this Web Site.

THEREFORE, in consideration of the mutual covenants and agreements of the parties contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties, intending to be bound, hereby agree as follows:

• Top100USmodels.com™ provides Services for Registered Users, including you, other Companies and Professionals. All parties are independent users of Top100USmodels.com™ with respect to all matters arising out of this Agreement. No Registered User shall be considered the employee, agent, partner or joint venture of Top100USmodels.com™ and Top100USmodels.com™ shall not be considered the employer, agent, partner or joint venture of any Registered User.
• Top100USmodels.com™ uses various third party payment systems; each user is responsible to review and abide by the rules of those systems.
• You agree to read and adhere to the guidelines as posted herein and throughout the site. It is the responsibility of the user to abide by this agreement.
• Top100USmodels.com™ is not intended for users under the age of 18. If you are 17 years or younger do not submit a portfolio or any personal information. If you are a parent, or a legal guardian of a model 17 years old or younger, ensure that you enter and approve all information, and that your email address and contact information is used at all times.

Scope of Services

• Top100USmodels.com™ is portfolio hosting web site and community, based on a public access for models, actors, photographers, industry professionals, and fans of the industry. Top100USmodels.com™ provides a hosting service and communication between photographers, models and other industry professionals.
• Top100USmodels.com™ provides message forwarding and web-based email services in addition to an internal email/referral system for communication between members. While we provide these services at no additional cost to our users, the system is intended for sending specific communications regarding assignments and for communications supporting work between our members.
• The Service and the Sites includes bulletin boards and chat rooms which allow users to post information, provide feedback to Top100USmodels.com™ and its affiliates, and interact in real-time.
• Every member receives complimentary one month of voting service to be able to participate in ranking and test it's capability and potential.

Limited Site Content

• It is not permitted to upload, download, post, email or otherwise transmit any Content that may infringe any patent, trademark, copyright or other intellectual or proprietary right of any party. As a guideline, you may contribute only original work that you have created yourself from original elements. You cannot create and upload an image using elements from images other people have created. By uploading any Content, you represent and warrant that you have the lawful right to reproduce and distribute such Content and that the Content complies with all applicable federal, state and local laws, regulations and ordinances.
• You are solely responsible for information that you post on our Web Site, including but not limited to any posting or listing in any public message area or through any email feature. You grant us a non-exclusive, worldwide, perpetual, royalty free, irrevocable right to exercise all copyright and publicity rights with respect to this information.
• Top100USmodels.com™ does not own or claim to own any personal portfolio content or images placed by individual users for self promotion and presentation.
• Top100USmodels.com™ and its affiliates do not review or monitor any web sites linked to the Service or from personal portfolios on this site. When clicking links to personal pages from Top100USmodels.com™ all users of the system acknowledge that Top100USmodels.com™ is not responsible for the accuracy or content of those links. You agree to not post URL's and other web links in any form, into your personal home page section, or the main portfolio page as links or text, that lead to ADULT SITES or Pay Sites. Top100USmodels.com™ reserves the right to remove from its sites any references or portfolios containing Adult Sites or Pay Sites without notice. Additionally certain links to sites, as determined from time to time by Top100USmodels.com™, the use of links and web addresses, or the use of html formatting and scripting in certain portfolio types as determined by Top100USmodels.com™ , may not be permitted within the portfolio or as an acceptable use of the personal home page link or as portfolio content.
• Top100USmodels.com™ is under no obligation to provide exposure to competing sites through links or other methods in portfolio and may remove those at its discretion, and without notice. Top100USmodels.com™ referral system is intended for work related offers and general inquires related to or leading to work or further discovery. Promotion of services and goods is not an appropriate use of the referral system. Top100USmodels.com™ permits unlimited member portfolio per person.
  
• Top100USmodels.com™ and its affiliates reserve the right, at their sole discretion, to edit, refuse to post, or remove any material, links,, email addresses, images, and content submitted to, or posted on the chat rooms, bulletin boards, or portfolios. Top100USmodels.com™ and its affiliates reserve the right, in their sole discretion, to deny access to the e-mail systems provided for general community use. Top100USmodels.com™ has guidelines regarding posting of appropriate images, email addresses, content, and links.
• Top100USmodels.com™ is an industry-specific networking site intended for models, photographers, producers, etc. to network, communicate and offer assignment based projects. Its intended use is not for the purposes of employing "Travel Companions", "Personal Assistants", "Executive Assistants", or other full (or part) time companionship or "non-industry" assistant-based work, nor should it be used to attempt to contact models or any site member for employment in ancillary occupations such as bartenders, waitresses, or other skill-specialized industries where modeling or artist work in the entertainment industry is the not primary means of employment. Skill-based employment offers should be posted to those sites whose primary intent is the hiring of skill-based employment. Portfolios offering these types of assignments may be suspended or disabled without warning or refund.
• Top100USmodels.com™ has a stated policy regarding the posting of sexually explicit images to its web pages. Sexually explicit images are not permitted on this site. Sexually explicit images include but are not limited to images of sexual intercourse, obvious states of sexual arousal (erections), or overt sexual positions (such as noticeably visible or spread genitalia). Failure to adhere to this restriction will result in the removal of the images, and the disablement of that member portfolio. Consistent misclassification (rating) or categorization of images may result in the forced setting of ratings and in gross violations may result in the removal of your portfolio.
• The Promotion and Recruitment of Escorts, Escort Services, Personal Companions, (etc.) are contrary to the purposes of Top100USmodels.com™ , and will not be tolerated in any fashion. Soliciting for, recruiting, or offering the services of escorts on this site is strictly prohibited. Portfolios that are used for the solicitation or promotion of escort services in ANY way will be immediately disabled with no refund. This includes (but is not limited to): Use of the referral system, hyperlinks to external sites promoting escorts, URLs (web addresses) promoting escorts and any other activity that the staff of Top100USmodels.com™ deems as solicitations, promotions, or offers.
• Teen model Membership sites (including teen pay sites, "top sites", "NN (non-nude)" sites, etc.) are contrary to the purposes and offered services of Top100USmodels.com™, and may not be promoted, linked, advertised, or solicited for, using any tools of Top100USmodels.com™ .
• Top100USmodels.com™ reserves the right to have no involvement with any member or user who works in the "NN" or teen pay site business. Profiles found which link, advertise or are associated with any such sites will be removed without warning or refund.
• Top100USmodels.com™ reserves the right to change or modify portfolio information or message board postings as needed and without notice.
• Further, It is against Top100USmodels.com™ policies and intended purpose to post any unlawful, fake, fraudulent, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, profane, hateful, racially, ethnically or otherwise objectionable material of any kind, including, but not limited to, any material which encourages conduct that would constitute a criminal offense, violate the rights of others, or otherwise violate any applicable local, state, national or international law.
• In addition, you agree not to post information or correspondence that is not of a professional nature or which contravenes US Federal, and International Trademark or copyright laws and restrictions in any way.

System Integrity

• Top100USmodels.com™ provides message forwarding and web-based email services in addition to an internal email/referral system for communication between members. While we provide these services at no additional cost to our users, the system is intended for sending specific communications regarding assignments and for communications supporting work between our members. For the safety and convenience of our members, we have instituted as set of rules and guidelines governing the use of this system. All members using the Top100USmodels.com™ email/referral systems should be familiar with these, and links to these rules and guidelines are provided on every outgoing email form
• You may not use any device, software or routine, including but not limited to any viruses, Trojan horses, worms, time bombs, cancel bots or denial-of-service attacks, intended to damage or interfere with the proper working of the Web Site or any transaction being conducted on our site, or to surreptitiously intercept or expropriate any system, data or personal information from the Web Site. You may not take any action that imposes an unreasonable or disproportionately large load on our infrastructure, including but not limited to "spam" or other such unsolicited mass emailing techniques.
• Use of anonymizing services or software is prohibited when accessing any Top100USmodels.com™ server or property. Use of any anonymizer software, networks, or websites to access Top100USmodels.com™ may lead to the loss of services or your Top100USmodels.com™ Account without warning or refund.
• Top100USmodels.com™ does not support bandwidth theft, the linking of images from Top100USmodels.com™ to other sites, or the misuse of links from other sites to Top100USmodels.com™. Anyone found linking images from Top100USmodels.com™ to other sites, copying content from Top100USmodels.com™ , or inappropriately linking to Top100USmodels.com™ (to increase their views - through use of hidden frames, or using programs to artificially raise page views etc.) will result in permanent REMOVAL from Top100USmodels.com™ without notification and may necessitate the notification of the appropriate State and/or Federal authorities.
• The Web Site may contain links to third-party web sites not under the control of Top100USmodels.com™. When we provide links, we do so only as a convenience and do not endorse and are not responsible for the content of any linked site or any link contained in a linked site.

Termination

• Violation of the terms and conditions in this agreement might, at the discretion of Top100USModels.comTM, cause your membership to be terminated and your profile to be removed from Top100USmodels.com™ without any notice whatsoever and without refund of any/all monies paid.
• You may close your Account at any time by logging in to your Account and following the instructions. Upon Account closure, we will cancel any pending transactions and you will forfeit any balances associated with your account. You must withdraw your Balance prior to closing your Account.
• You may not close your Account to evade an investigation. If you attempt to close your Account while we are conducting an investigation, we may hold your funds for up to 180 Days to protect PayPal or a third party against the risk of Reversals, Chargebacks, Claims, fees, fines, penalties and other liability. You will remain liable for all obligations related to your Account even after the Account is closed.

Limitation of Liability

• You acknowledge that Top100USmodels.com™ and its affiliates do not control the information available on the bulletin boards and chat rooms and that any opinions, advice, statements, services, offers or other information or content presented or disseminated on any bulletin board or in any chat room are those of their respective authors who are solely liable for their content.
• Although Top100USmodels.com™ and its affiliates may from time to time monitor or review discussions, chats, postings, transmissions and bulletin boards on the Site, neither Top100USmodels.com™ nor its affiliates is under any obligation to do so.
• In no event shall Top100USmodels.com™ be liable to you or any other registered used for any special, indirect, consequential, or punitive damages to this agreement, including but not limited to, loss of profit, loss of business opportunity, or loss of goodwill, even if advised of the possibility of such damages.
• In the event that you have a dispute with one or more Registered Users, you release us (and our agents and employees) from claims, demands and damages (actual, consequential and punitive) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the Web Site, the Services, or such dispute. You waive the provisions of any state law limiting or prohibiting a general release.
• Notwithstanding any other provision of this Agreement, in no event will Top100USmodels.com™ liability to you for any action or claim related to the Services provided under this Agreement, whether based on contract, tort, negligence, or any other theory of liability, exceed in the greater of: (A) $1000 or (B) the aggregate amount of Service Charges actually collected by Top100USmodels.com™ from you for the Services to which the liability relates during the three (3) month period immediately preceding the determination of such liability.
• We reserve the right to enter into contracts with third parties that provide for scheduled maintenance, preventative maintenance, and emergency maintenance work. We will have no liability whatsoever for any unavailability of the Web Site caused by a third party performance or lack of performance of the maintenance work needed to keep the Web Site operable. We will also not have any liability for any loss of data or transactions resulting from delays, non-deliveries, wrong deliveries, or service interruptions caused by us, any third party acts, the acts of any web services provider or problems with the Internet infrastructure and networks external to the Web Site. The limitations of liability provided in this Agreement inure to the benefit of us, our affiliates and all of our respective officers, directors, employees, attorneys and agents.
• In case, you voluntarily disclose personal information (e.g., user name, email address) on a bulletin board or in a chat room, you are aware that information can be collected and used by others and may result in unsolicited messages from other parties, and shall therefore be the sole responsibility and liability of the poster.

Disclaimer

• The Service and the Sites contain information, facts and opinions from various individuals and organizations. THE SERVICE AND THE SITES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPOSED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. NEITHER Top100USmodels.com™ NOR Top100 Corp OR ITS AFFILIATES ENDORSE OR ARE RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE OR STATEMENT ON THE SERVICE OR THE SITES.

Indemnification

• You agree to defend, hold harmless and indemnify Top100USmodels.com™ from and against any and all losses, costs, expenses, damages or other liabilities incurred by Top100USmodels.com™ from and against any cause of action, claim, suit or proceeding brought by a third party against Top100USmodels.com™ in connection with your use of the Services including any payment obligations incurred through use of the Services. You further agree to indemnify, defend and hold Top100USmodels.com™ harmless from and against any and all claims, demands, actions, costs, liabilities, losses and damages of any kind (including attorneys' fees) resulting from: your use of the Web Site, your decision to supply credit information via the Web Site, including personal financial information, your decision to submit postings and accept offers from other Registered Users, any breach of contract or other claims made by Registered Users with which you conducted business through the Web Site, your breach of any provision of this Agreement, any liability arising from the tax treatment of Payments or any portion thereof, or any negligent or intentional wrongdoing by any Registered User. Any such indemnification shall be conditioned on our: (a) notifying you in writing of any such claim, demand, action, cost, liability, loss or threat of any thereof; (b) cooperating with you in the defense or settlement thereof; and (c) allowing you to control such defense or settlement. We shall be entitled to participate in such defense through our own counsel at our own cost and expense. We reserve the right to report any wrongdoing of which we become aware to the applicable government agencies or otherwise.
• In connection with your indemnification obligations as provided for above, Top100USmodels.com™ agrees to (a) notify you in writing promptly after learning of any such claim; (b) turn over to you all responsibilities and control with respect to such claim; and (c) reasonably cooperate with you in the defense thereof.
• You will be responsible for, and indemnify and hold harmless Top100USmodels.com™, its subsidiaries, divisions, affiliates, agents and representatives against, any claim arising from any material that you post or transmit.

Assignment

• Top100USmodels.com™ has the right to transfer or assign this Agreement and the rights hereunder to any other person or entity without your consent. You do not have the right to assign or transfer this Agreement or any rights thereunder to any other person or entity without our prior written consent. Subject to the foregoing, this Agreement will be binding upon and will inure to the benefit of the successors and permitted assigns of the parties hereto.

Miscellaneous

• This Agreement, and all writings, web pages, agreements and policies, including, but not limited to, the Top100USmodels.com™ Privacy Policy, incorporated herein, contains the entire Agreement between the parties and supersedes any prior agreement, negotiation or understanding of the parties, whether oral or in writing, with respect to the subject matter of this Agreement. Any representations, promises or conditions not incorporated herein shall not be binding upon Top100USmodels.com™ or Registered User or their respective successors and assigns.
• If any provision of this Agreement is held to be invalid or unenforceable, such provision will be struck and the remaining provisions enforced. Headings are for reference purposes only. Failure of either party to act or exercise its respective rights under this Agreement upon the breach of any other terms hereof by the other party shall not be construed as a waiver of such a breach or prevent said party from thereafter enforcing strict compliance with any or all of the terms thereof.
• Neither of the parties to this Agreement shall be responsible for the failure to perform or any delay in performance of any obligation hereunder due to labor disturbances, accidents, fires, floods, telecommunications or Internet failures, strikes, wars, riots, rebellions, blockades, acts of government, governmental requirements and regulations or restrictions imposed by law or any other similar conditions beyond the reasonable control of such party. The time for performance of such party shall be extended by the period of such delay.
• This Agreement and any disputes arising out of or related to the Service and the Sites shall be governed by, and construed and enforced in accordance with, the laws of the State of Illinois and governed by the District Court of Cook County, Ill. By your usage of, or your posting to, this site constitutes your agreement to, but not limited to, the current conditions listed in this agreement
• Top100USmodels.com™ reserves the right to change and modify these usage rules as appropriate and without notice.

Disclosure of personal information

• We find any collected personal records to be confidential unless the site user voluntarily disclose it.
  The user has rights and ability to selectively disclose any personal information as wished. The site collects only first and last name that may or may not be displayed. Any e-mail addresses provided by user are not disclosed and are used only for credentials verification or password retrieval.
